AXIGEN COMMISSION AGREEMENT

This Commission Agreement ("Agreement") is made between Gecad Technologies SRL, a Romanian company, located at 10A Dimitrie Pompei Blv., Bucharest, VAT ID RO14330785 ("Gecad"), and any legal entity or person who agree to this agreement ("You").

The parties agree to the following terms and conditions:

Subject. Gecad will pay You a commission for any sale of Axigen software product /-s initiated using the Referral Lead form completed by You on www.axigen.com..Axigen will approve or deny Your Referral Lead form in maximum 7 business days after completion.

Commission. The commission is a net value of 10%, from the total net price of the Axigen software product /-s sold by initiating Your Referral Lead from.
Gecad will pay You the commission by wire transfer or Check in 6 - 8 weeks from the date the net value of Axigen sales initiated using Your Referral Lead form reaches 1.000 Euro. Gecad will bear and pay all legal taxes in relation to the commission operation, including the bank commission.
If Axigen deny Your Referral Lead form or if the sale-s initiated using Your Referral Lead from fails by any reason, You are not entitle to a commission.

Term. This Agreement becomes effective on the date in which You accept electronically this Agreement and shall continue until terminated by either party (with or without cause) upon giving 30 days advance notice in writing to the other party.

Assignment. This Agreement may not be assigned by You, in whole or in part, without GECAD´s prior written consent.

Jurisdiction. This Agreement shall in all respects be governed by and construed in accordance with the laws of Romania and the competent court of justice from Bucharest.

Independent Contractors. You acknowledge that are an independent contractors and that it will not, represent itself as an agent or legal representative of Gecad.

Force Major. If either party shall be prevented from performing any portion of the Agreement by causes beyond its control, including labour disputes, civil commotion, war, governmental regulations or controls, casualty, inability to obtain materials or services, or acts of God, such defaulting party shall be excused from performance for the period of delay and for a reasonable time thereafter.

Superior Agreement. This Agreement sets forth the entire agreement between You and GECAD as to its subject matter, and supersedes any and all prior agreements between the parties with respect thereto.
